TERMS AND CONDITIONS FOR COMMERCIAL CLEANING SERVICES

EFFECTIVE DATE: 01/03/26

1. Scope of Services

Services include but are not limited to:

  • Dusting and wiping surfaces
  • Vacuuming and mopping floors
  • Cleaning restrooms and kitchens
  • Emptying trash bins and replacing liners
  • Sanitizing high-touch areas
  • Other agreed-upon duties as listed in an individualised Scope of Works provided

 

2. Service Schedule

  • For commercial cleaning, an agreed amount of hours per week will be committed to
  • Any changes to this schedule must be agreed upon in writing


3. Term and Termination

  • Commercial cleaning services commence when requested and remain in effect unless terminated by either party with 14 days’ written notice.
  • Either party may terminate this Agreement immediately for causes including non-payment, breach of contract, or unsafe working conditions.


4. Fees and Payment

  • What a Difference Group Pty Ltd will invoice for the agreed amount of hours per week unless otherwise negotiated
  • Invoices are payable on 7 day terms


5. Supplies and Equipment

  • What a Difference Group Pty Ltd will supply cleaning equipment and standard cleaning materials unless otherwise agreed.
  • The Client is responsible for cleaning materials specific to their office preferences, such as bin bags.
  • The Client is responsible for providing toiletries where relevant, such as toilet paper, tissues, paper towel, etc.


6. Access to Premises

  • The Client agrees to provide What a Difference Group Pty Ltd with access to the premises during scheduled cleaning hours.
  • Any access issues must be reported in advance. Lockouts or denied access may result in a charge equal to the scheduled service fee.


7. Insurance and Liability

  • What a Difference Group Pty Ltd is insured for general liability and workers’ compensation.
  • What a Difference Group Pty Ltd is not liable for:
    • Damage to property due to existing wear, improper installation, or defective materials.
    • Theft or loss unless proven to be due to the Service Provider’s negligence.


8. Health & Safety

  • The Client agrees to maintain a safe working environment and report any hazards.
  • What a Difference Group Pty Ltd reserves the right to suspend services if conditions are deemed unsafe.


9. Confidentiality

  • Any client information and data observed during the cleaning process will remain confidential and will not be disclosed to any third party.


10. Dispute Resolution

  • Any disputes shall first be resolved through good faith negotiation.
  • If unresolved, disputes shall be submitted to mediation or arbitration in the jurisdiction of South Australia.


11. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of South Australia.
